ARTICLE I. - NAME

            The name of this organization shall be the Lamplight Village Area Neighborhood Association, a non-profit, unincorporated association, hereinafter referred to as the Association.

 

ARTICLE II. - PURPOSE

1.              The Association shall be a non-profit organization within which the residents of the neighborhood can promote and protect the quality of life, safety, residential characteristics and property values of the neighborhood primarily, and other matters of neighborhood concern.

2.              The Association is not organized for profit and no profit shall accrue to anyone by virtue of being a member or officer of the Association.

 

ARTICLE III. - OBJECTIVES

The objectives of the Association are as follows:

            1.         To represent and advance the interest of residents in the neighborhood.

2.         To keep all residents informed of issues vital to the neighborhood by appropriate communications and meetings.

3.   To establish Standing and Ad-Hoc committees to investigate and make recommendations to the Association on all matters of neighborhood concern.

            4.         To establish mutual protection and safety including traffic control.

5.         To facilitate the education of residents regarding all available options to them relating to the problems of home ownership, zoning, rights, etc.

6.         To work toward development and preservation of natural green spaces, landscaping, and general land use management.

7.         To promote unity through neighborhood social and recreational activities and festivals.

                                   

ARTICLE IV. - MEMBERSHIP

            Section 1. Eligibility

a.    Membership in the Association shall be open to all adult residents within  the territorial boundaries of the Lamplight Village, North Shields, Parmer Heights, and Tomanet subdivisions, generally bounded on the North by Magazine Street, on the East by Meehan to Scofield to Rampart to Parmer Lane, on the South by Parmer Lane, and on the West by Tomanet Trail to, but excluding Cedar Branch, then along Irongate and on to the North-South segment of Elysian Fields and back to Magazine Street.

b.    Membership shall be issued on the basis of adult (18 years of older) members of the household upon payment of annual dues.

           

Section 2. Dues

Dues in the amount of Five Dollars ($5.00) for single adult & consequently one-vote households or eight dollars ($8.00) for households having two or more adults & wishing to be permitted two votes.  Dues shall be payable at or before first meeting of each fiscal year.  Members who join after the end of November shall have their dues reduced by one half.

                         

            Section 3. - Honorary Membership

            Honorary Membership may be awarded to persons who have performed services which tend to further the purpose of the Association.  The election of honorary members will be by majority vote.  Honorary members shall have no vote nor be required to pay dues.

 

ARTICLE V. - VOTING

            Section 1.       

Single adult household members of the Association present at any meeting shall be entitled to one vote on each matter and Association member households with two or more adults shall be entitled to two votes on each matter that is submitted to a vote by the membership.

 

            Section 2.

            A quorum shall be necessary for the transaction of Association business.  In no event, however, shall a quorum be constituted with less than five per cent (5%), including the Executive Committee, of the members.  Any member may be represented in person or by written and signed proxy vote.

 

            Section 3.

            An affirmative vote of more than fifty per cent (50%) of the members constituting a quorum shall be binding on the Association, except as noted in Section 5 of Article VI, and Article XI.

 

            Section 4.

            Voting may be held by secret ballot.

 

ARTICLE VI. - OFFICERS

            Section 1.

            The officers of the Association shall be elected from the voting membership and shall be a President, Vice-President, Secretary, and Treasurer.  These elected officers and up to four board members, appointed by the officers, shall comprise the Executive Committee.  See Article VIII. - Committees

 

Section 2.

a.  Election of officers shall be held at the last regular meeting of the fiscal year as the last order of business.  Officers-elect shall be installed immediately thereafter. Any officer can be reelected for a one-year term but only one member of a household may serve on the Executive Committee at one time.

 

b.     The officers and members of all committees shall serve without pay.

 

            Section 3.

            Nomination of officers shall be made from the floor with the prior consent of the person being nominated.

 

            Section 4.  Duties of officers:

The President shall preside at all meetings of the Executive Committee and the Association and shall be an ex-officio member of all committees. The President shall cosign all checks over $100, with the exception of the newsletter expense of $300 and less, with membership approval needed if any expense is over $300.  All proposed donations shall also require membership approval.

The Vice-President shall fulfill the duties of the President in the President's absence and shall serve as Parliamentarian of the Association.

 

            The Secretary shall be responsible for keeping an accurate record of all business of the Association, including maintaining the by-laws, and all outside correspondence of the Association. 

 

The Treasurer shall be responsible for the Association monies, shall keep an accurate record of receipts and expenditures, and shall co-sign all checks over $100, with the exception of the newsletter expense of $300 and less, with membership approval needed if any expense is over $300.  All proposed donations shall also require membership approval.
           

            Section 5.  Removal from Office:

            Any officer may be removed from office for cause at any meeting by two-thirds of the membership comprising a quorum providing that notice has been given to the membership at least two weeks prior to said meeting.

 

            Section 6.  Replacement of Officers:

            When necessary, vacant offices may be filled at any meeting by the Executive Committee for the un-expired portion of their term, or as directed by Robert's Rules of Order.

 

ARTICLE VII. - MEETINGS

            Section 1.

            Meetings of the general membership of the Association shall be held on the second Tuesday of each month or on such other days as the members may agree.

 

            Section 2.

            Special meetings may be called by the Executive Committee.

 

Section 3.

            The privilege of holding office, introducing motions, and voting shall be limited to members of the Association.

           

Section 4.

            The fiscal year of the Association shall run from January through December.

 

 

 

 

ARTICLE VIII. – COMMITTEES

Section 1.                                                                                                                   

a.                   The Executive Committee shall be comprised of the elected officers of the Association and the (up to) 4 appointed board members.  Board members will be chosen by the Officers of the Association with attempt to balance the Executive Board Committee with respect to geographic residence, age, sex, occupation, and areas of expertise, choosing from among persons who have demonstrated interest in the goals of the Association. 

b.  The Executive Committee shall transact necessary business in the intervals between regular meetings and such other business as may be referred to it by the Association and shall appoint all committees and approve the work of such committees.

 

            Section 2. Standing Committees & Delegates

a. The Membership/Communications Committee shall be responsible for the recruiting and maintaining membership rolls, and collection of dues, and the notification of regular meetings and general communications within the Association.

b. The Austin Neighborhoods Council Delegate shall attend all meetings of the Austin Neighborhoods Council and shall be responsible for all communication between the Association and the A.N.C.  An alternate delegate shall be appointed by the Executive Committee each year to serve in case of the A.N.C. Delegate's absence.

                                   

ARTICLE IX.  PARLIAMENTARY AUTHORITY

            When not inconsistent with these by-laws, Robert's Rules of Order Newly Revised shall be the parliamentary authority for all matters of procedure.  These rules may be suspended at any meeting by a majority vote.

 

ARTICLE X.  PROHIBITIONS

            Section 1.

            The Association shall not endorse any candidates for political office nor shall discussions extend to matters outside the purpose of the Association as set out in Article II.

 

            Section  2.

            The membership roster and the subscription list to the electronic mail service shall be confidential and may not be released to non-members without permission of the members concerned.

 

Section 3.

            No member may act as spokesperson or represent the association without the permission of the Executive Committee or a majority of the quorum at a duly called or special meeting.

 

            Section 4.

            The electronic service shall not be used to cast votes on association business.

 

ARTICLE XI. SPECIAL PROVISIONS

            Section 1.

            These by-laws shall become effective upon the approval of two-thirds of the members present at the meeting where these by-laws are presented to the membership for consideration of passage.

 

            Section 2.

            These by-laws may be amended at any meeting of the Association upon a two-thirds vote of those members present, provided that written notice has been delivered to all members of the Association seventy-two (72) hours prior to the meeting. 

 

ARTICLE XII. DISSOLUTION

Upon the dissolution of the Association, no class of member shall have any right nor shall receive any assets of the Association.  The assets of the Association are permanently dedicated to a tax-exempt purpose.  In the event of dissolution, the Association's assets, after payment of debts, will be distributed to an organization which in itself is tax exempt under the provisions of Section 501(c)(3) of the Internal Revenue Code.
