OAKMONT HEIGHTS NEIGHBORHOOD ASSOCIATION
BYLAWS

ARTICLE I - NAME

The name of this organization shall be the Oakmont Heights Neighborhood Association, a nonprofit organization, hereinafter referred to as the Association.

ARTICLE II - PURPOSE

The purpose of the Association is to preserve and improve the quality of life in the neighborhood regarding land use, environmental protection, crime prevention, traffic control, and other neighborhood concerns.

ARTICLE III - OBJECTIVES

a) To represent and advance the interests of residents and owners in the neighborhood.
b) To keep all residents and owners informed of issues vital to the neighborhood by appropriate communications and meetings.
c) To investigate and make recommendations on matters of neighborhood concern.
d) To seek the improvement of single and multiple dwellings by resident and absentee home and apartment owners.
e) To maintain the residential character of the neighborhood.
f) To serve as liaison between neighborhood residents and governmental, commercial and other entities on matters of neighborhood concern, and
g) To provide an opportunity for neighbors to meet and work with each other on matters of mutual interest and concern.

ARTICLE IV - MEMBERSHIP

Section 1 - Eligibility
a) Membership in the Association shall be open to all adult (18 years and older) residents and owners of residential property within the following boundaries: West 35th Street (south), Jefferson Street (east), Bull Creek Road (north), and Jackson Avenue (west); and also the single-family residences on the north side of West 44th Street between Bull Creek Road and Loop 1 (MoPac Blvd.), connected by the city right-of-way along the west side of Bull Creek Road.
b) Membership shall be issued on an individual basis upon payment of annual dues.
Section 2 - Dues
a) Dues shall be paid each year by each individual in an amount set annually by the Executive Committee.
b) Extra dues may be assessed by a two-thirds vote at any regular meeting.
c) Annual dues may be paid to any officer at any time for a one-year period commencing immediately upon payment. All dues shall be remitted to the Treasurer for deposit in the Association account.
d) Dues may be spent only for Association purposes and upon approval of the President and the Treasurer.

ARTICLE V - VOTING

Section 1.
Each member of the Association present at any meeting shall be entitled to one vote.
Section 2.
A quorum shall be necessary for the transaction of Association business. In no event shall a quorum be constituted with less than 5 percent of the Association members or 10 members, whichever is greater.
Section 3.
An affirmative vote of more than 50 percent of the members constituting a quorum shall be binding on the Association, unless specifically provided otherwise.

ARTICLE VI - OFFICERS

Section 1 - President
The president shall preside at all meetings of the Association and of the Executive Committee, act as spokesperson for the Association, appoint the chair and members of all committees, co-sign with the Treasurer all checks drawn on the account of the Association, and co-sign with the Secretary all minutes of meetings of the Association and of the Executive Committee.
Section 2 - Vice President
The Vice President shall perform the duties of the President when the President is absent or incapacitated or as delegated by the President with approval of the Executive Committee. Should the office of the President be vacated for any reason, the Vice President shall serve as Acting President until the next regular election of officers.
Section 3 - Treasurer
The Treasurer shall be responsible for all Association monies, shall keep an accurate record of receipts and expenditures, and shall co-sign with the President all checks drawn on the account of the Association.
Section 4 - Secretary
The Secretary shall be responsible for keeping an accurate record of all business of the Association. The Secretary shall keep accurate minutes of all meetings of the Association and of the Executive Committee and co-sign the minutes with the President.
Section 5 - Membership Director
The Membership Director shall be responsible for keeping accurate records of the membership of the Association and for notifying members of meetings.
Section 6 - Qualification of Officers and Other Executive Committee Members
Officers and other members of the Executive Committee must be adult residents of the neighborhood who are members in good standing of the Association.
Section 7 - Election of Officers and Added Executive Committee Members
Officers of the Association and members of the Executive Committee added under Article VII, Section l(b) shall be elected annually by the Association membership for one-year terms no later than December 1 of each year. The method of election shall be determined annually by the Executive Committee. Officers-elect shall be installed immediately following their election. Officers shall remain in office until their successors have been chosen.
Section 8 - Removal from Office
An officer or member of the Executive Committee added under Article VII, Section l(b) may be removed for cause at a meeting of the Association by a vote of at least two-thirds of the members present and voting, provided that advance notice has been furnished to the Executive Committee at least two weeks prior to the meeting and to the membership at least one week prior to the meeting. A President removed for cause is disqualified from serving on the Executive Committee as immediate past President.
Section 9 - Replacement of Officers and Added Executive Committee Members
The Executive Committee shall fill a vacancy in an office or Executive Committee position added under Article VII, Section l(b) until the next regular election, except if the President's office is vacated, it shall be filled by the Vice President.

ARTICLE VII - EXECUTIVE COMMITTEE

Section 1 - Membership
(a) The Executive Committee shall be composed of: the President, the immediate past President, the Vice President, the Treasurer, the Secretary, the Membership Director, and members added under Article VII, Section l(b). The immediate past President may decline to serve by notifying the Executive Committee. The President shall chair the Executive Committee.
(b) The Association may, with approval of two-thirds of the members present and voting, add members to the Executive Committee, which may not have more than 10 members. The terms of added members shall expire no later than December 1 of each year.
Section 2 - Duties
The Executive Committee shall be responsible for carrying out the business of the Association between meetings of the Association. Any action taken by the Executive Committee shall be submitted to the Association membership for review.
Section 3 - Meetings
(a) The Executive Committee shall meet quarterly, at the call of the President. A quorum to conduct business shall be a majority of the membership of the Committee. Meetings shall be open to all Association members.
(b) The Executive Committee may take action without a formal meeting by a poll of the committee members conducted by the President. Every member must be polled in order for an action taken by this procedure to be valid. If any two members object to this procedure, the proposed action must be considered in a formal meeting.

ARTICLE VIII - MEETINGS AND ORGANIZATION

Section 1 - Regular Meetings
Meetings of the general membership of the Association shall be called by the President at least annually after written notification to the members. Meetings to elect officers shall be held no later than December 1 each year.
Section 2 - Special Meetings
After written notification to the members, special meetings may be called by the President, by majority vote of the Executive Committee, or by petition of at least 20 percent of the Association membership.
Section 3 - Privileges
The privileges of introducing motions, floor debate, and voting shall be limited to members of the Association.
Section 4 - Agenda
The Executive Committee shall set the agenda for each meeting of the Association. Any member may add an agenda item by providing a copy of the agenda item to the secretary at least two weeks before the meeting. The agenda shall be included in the written notification to the membership of the meeting. No vote shall be taken on any matter not on the meeting agenda unless it is declared an emergency matter by a vote of at least three-fourths of the members present and voting.

ARTICLE IX PARLIAMENTARY AUTHORITY

When not inconsistent with these bylaws, Robert's Revised Rules of Order shall be the parliamentary authority for all matters of procedure unless suspended by a majority vote.

ARTICLE X - PROHIBITIONS

Section 1.
The Association shall not endorse any candidate for political office nor shall discussions extend to matters outside the Purpose and Objectives of the Association as set out in the bylaws.
Section 2.
The identity of Association members shall be confidential and may not be released without permission of the members concerned for any reason other than Association business.

ARTICLE XI - AMENDMENT OF BYLAWS

These bylaws may be amended at any Association meeting by a vote of at least two-thirds of the members present and voting, provided that any amendment must be submitted in writing to the Executive Committee at least two weeks prior to the meeting at which it will be considered and to the entire membership at least one week prior to the meeting.

ARTICLE XII - DISSOLUTION

Upon dissolution of the Oakmont Heights Neighborhood Association, no class of members shall have any right to nor shall receive any assets of the Association. The assets of the Association are permanently dedicated to a tax-exempt purpose. In the event of dissolution, the Association's assets, after payment of debts, shall be distributed to an organization that is tax-exempt under the provisions of the Internal Revenue Code.

ARTICLE XIII - TRANSITIONAL PROVISION

These revised bylaws shall be considered a complete substitute amendment for the Association bylaws previously adopted, and the special procedure for their adoption set forth herein shall supersede any contradictory provision. These revised bylaws shall be distributed to the Association membership prior to the meeting at which they will be considered and shall take effect immediately after adoption by a vote of at least two-thirds of the Association membership present and voting.
